Our mission is to provide a user-friendly platform that streamlines workforce management, including recruitment, onboarding, HR compliance tracking, timekeeping, scheduling, and payroll. These Terms of Service (“Terms”) govern your access to and use of our software, services, websites, and portals (collectively referred to as the “Services”).
By accessing or using the Services, you, as well as any entity you represent ("you," "your," or "User"), agree to these Terms. If you do not agree to these Terms, you may not use the Services.
We reserve the right to update these Terms from time to time. Continued use of the Services after updates are posted constitutes your acceptance of the revised Terms.

These Terms are governed by the laws of the state of New Jersey, without regard to its conflict of laws principles. Any disputes arising under these Terms will be resolved exclusively in the courts of New Jersey.
If legal action is initiated regarding these Terms, the prevailing party is entitled to recover reasonable attorney's fees and costs.

Except as set forth below, any dispute arising out of or relating to this Agreement or the Services shall be resolved exclusively by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, and judgment on the award may be entered in any state or federal court located in Ocean County, New Jersey. Each party shall bear its own attorneys’ fees and costs, unless otherwise required by law or awarded by the arbitrator. Either party may seek injunctive or other equitable relief solely to prevent irreparable harm arising from a breach involving intellectual property, confidentiality, or unauthorized use of the Services, without waiving the requirement that all other disputes be resolved by arbitration. If a dispute is non-arbitrable as a matter of law, it shall be brought exclusively in the state or federal courts located in Ocean County, New Jersey, and the parties irrevocably submit to the jurisdiction of such courts. Each party irrevocably waives any right to a trial by jury in any action arising out of or relating to this Agreement or the Services.
Rows LLC owns all rights, title, and interest in the Services, including software, designs, trademarks, content, and any enhancements or updates. By using the Services, you are granted a limited, non-exclusive, non-transferable, and revocable license to access and use them solely for your business operations as permitted under these Terms.

Any copy of the Software remains the exclusive property of the Licensor. The Software is licensed to you, not sold, and your use of it is subject to the terms of this Agreement. You may not remove, alter, or obscure any copyright, trademark, or other proprietary notices included in the Software or its documentation.
As a User of the Services, you are responsible for:
Unauthorized use of the Services may result in suspension or termination of access.
User Data: You retain ownership of all rights, title, and interest in the data you or your organization submit to the Rows Platform ("User Data"). Rows acts as a processor of this data and will use it only as necessary to provide and enhance the Services or as outlined in our Privacy Policy.
Data Processing: By using the Services, you consent to the processing of User Data, including its transfer and storage in jurisdictions outside your own, as required to provide the Services. Rows ensures that any such data transfers comply with applicable data protection laws.
To deliver the Services effectively, Rows may engage trusted third-party service providers ("subprocessors"). Subprocessors are bound by confidentiality and data protection agreements consistent with these Terms.
If you object to any subprocessors engaged by Rows, you may notify us within 10 business days of such engagement. Rows will work in good faith to address objections but may terminate the Services if a resolution cannot be reached.
Both Rows and Users agree to treat as confidential any non-public information exchanged as part of the Services. Confidential information includes, but is not limited to, business plans, technical details, and User Data.
This confidentiality obligation does not apply to information that:
Confidential information may be disclosed if required by law, provided the disclosing party gives prior notice (if permitted by law).
Rows strives to maintain 99.9% uptime for the Services, with the exception of scheduled maintenance or unforeseen technical issues. We will provide advance notice of maintenance whenever possible.
From time to time, Rows may offer beta features to Users for testing purposes. These features are provided "as is," without any guarantees of performance or reliability, and may be discontinued at any time. Users agree to use beta features at their own risk.
Users agree to comply with all applicable laws, regulations, and industry standards when using the Services, including but not limited to:
Rows LLC is not responsible for any non-compliance arising from Users' use of the Services.
All payment terms, billing cycles, fees, and refund policies are governed by the individual agreement between Rows LLC and the client. Users should refer to their signed client agreement for specific details.
You agree to indemnify and hold Rows LLC, its affiliates, and their respective employees, officers, and agents harmless from any claims, damages, or expenses arising from:
To the fullest extent permitted by law, Rows LLC is not liable for any indirect, incidental, special, or consequential damages, including but not limited to lost profits, data loss, or business interruptions, arising out of your use of the Services.
For the avoidance of doubt, indirect, incidental, special, or consequential damages include, without limitation, loss of goodwill or reputation and the cost of replacement goods or services, in each case regardless of whether Rows LLC was advised of the possibility of such losses or damages or whether such losses or damages were otherwise foreseeable.
In any event, Rows' total liability for damages under these Terms will not exceed the amount paid by you for the Services in the 12 months preceding the claim.
We may suspend or terminate your access to the Services at any time, with or without cause, and without prior notice. Upon termination, your license to use the Services will immediately cease, and you must discontinue use.
As part of the Services, Rows may send notifications via SMS or email. These communications are primarily for security (e.g., two-factor authentication) or operational updates. By using the Services, you consent to receive such communications. Standard messaging rates may apply.

These Terms, along with the Privacy Policy, constitute the entire agreement between Rows LLC and Users regarding the Services. They supersede all prior agreements or understandings.
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
